In-House Legal Counsel

The Legal Counsel is responsible for providing comprehensive legal support to all business operations of the Company in Mongolia. The position ensures that the Company's investments, commercial activities, project development, corporate governance, regulatory compliance, and relationships with governmental authorities are conducted in full compliance with Mongolian laws and international business standards while effectively managing legal risks.

Bachelor’s or higher Degree in Law Must - have experiences: * Energy/Infrastructure Project Legal Experience: Minimum of 5–7 years of experience in project legal counsel, with a strong preference for renewable energy (Solar PV, Wind) or large-scale infrastructure projects. * International Contract Drafting & Negotiation: Proven track record in reviewing, drafting, and negotiating Investment Agreements with Government entities, Power Purchase Agreements (PPAs), and large-scale Land Lease/Acquisition agreements. * Cross-Border/Multinational Corporate Environment: Direct experience in managing legal workflows for cross-border project structures with foreign parent companies and local Special Purpose Vehicles (SPVs) / project companies. * Liaison with Local Regulatory Authorities: Demonstrated proficiency in working with Ministries and state authorities on investment licensing, town planning/zoning approvals, and tariff-setting procedures. Nice-to-have experience: * CIS/Central Asia Market Experience: Prior experience providing legal counsel for projects within CIS countries, specifically Kyrgyzstan, is highly advantageous. * International Dispute Resolution: Solid understanding or experience in international arbitration and dispute resolution arising from Investment Agreements or international commercial contracts. * Project Finance: Exposure to and support of the legal due diligence process from the perspective of international financial institutions or development banks for project financing.
